The combination creates a leading European full-service provider for infrastructure maintenance and industrial cleaning, and adds a new line of business to the Group: Environmental Health.

KSG has successfully completed its merger with Grupo SASTI (“SASTI”). Together, they form a leading full-service provider for the maintenance and improvement of infrastructure and environments in Europe, with a presence in 7 countries and more than 2,200 employees.

The merger also marks the birth of a new line of business within KSG. With SASTI's expertise in pest control and environmental health, KSG creates its Environmental Health division, a field in which the Group had no activity until now. Environmental Health joins Infrastructure and Industrial as one of the Group's lines of business.

Why Environmental Health, and why now

Environmental Health covers essential services such as pest control, disinfection and hygiene. Demand is supported by long-term structural drivers: stricter food safety and hygiene standards, growing regulatory requirements on the use of biocides, and customers who must demonstrate compliance through audits and certifications.

Climate change is adding to this demand. Warmer temperatures and longer seasons are extending the range and activity of pests and invasive species across Europe, increasing the need for prevention, monitoring and fast, specialised response.

With SASTI, KSG gains an established platform in this field and a strong position in the Iberian market, from which to develop Environmental Health across Europe.

Two complementary platforms

Until now, KSG has provided inspection, cleaning and maintenance services to more than 30,000 customers, including corporations, municipalities and private households, in Switzerland, Germany, the Netherlands, Belgium and the United Kingdom.

SASTI, part of the Ufenau portfolio since 2021, has built a leading position in Spain and Portugal through a buy-and-build strategy. Its companies bring specialised capabilities in environmental health, sewer networks and industrial cleaning.

The combination creates an even stronger platform, built on complementary capabilities and a diversified customer base across multiple sectors. It brings together advanced operational expertise and a broad range of services, positioning the Group to accelerate its growth and continue its expansion in the market.

Growing with the people who built the business

“This merger is a key milestone for KSG and reflects Ufenau's commitment to value creation,” said Stefan Odenthal, CEO of KSG. “By integrating SASTI's expertise into KSG's operating platform, we are expanding our one-stop-shop offering in the Iberian market and further strengthening our service capabilities.”

Ralf Flore, Managing Partner at Ufenau, added: “We are pleased to continue supporting KSG with the strategic integration of SASTI, which has built a leading position in the Iberian market through a buy-and-build strategy. Joining KSG is the next logical step to drive further growth within the enlarged KSG platform. Together, we are creating a stronger and more diversified platform, excellently positioned to keep growing in the European market.”

A platform for further growth

The merger of KSG and Grupo SASTI lays the foundation for the Group's next stage of development, with three lines of business — Infrastructure, Industrial and Environmental Health — and a broader European footprint from which to keep growing.
